How do Non-Compete and Non-Solicit Agreements work?

A Non-Compete clause will generally prevent an employee from working for a competitor or starting their own business in the same industry within a specified amount of time, and within a specified geographic area. However, a Non-Solicitation Clause generally prevents current or former employees from poaching current employees or clients from the business.  


Non-Compete Clauses are viewed as contracts in partial restraint of trade and are enforceable if they are supported by valuable consideration, reasonably necessary to protect the business interests of the employer, and not against public policy.
